1. INTRODUCTION

1.1. These general terms and conditions of sale (the “Terms”) govern all sales of Sothis® products (the “Products” or “Product”) made through the website www.sothislight.com (the “Website”).

1.2. These Terms apply to distance contracts, or in any case contracts concluded outside business premises, entered into by Sothis® (also referred to as the “Seller”) exclusively with individuals qualifying as consumers who purchase the Products for personal use (the “Customer” or the “Customers”).
A consumer is any natural person acting for purposes unrelated to their commercial, entrepreneurial, craft or professional activity, aged 18 or over (or otherwise of legal age under the laws of their country). Minors may purchase only if authorized by their legal representative.

1.3. The resale or transfer of Products purchased on the Website is expressly prohibited when carried out for commercial or professional purposes.

1.4. The languages available to conclude the purchase contract on the Website are: Italian and English.

1.5. Sothis® reserves the right to amend and/or supplement these Terms at any time. Product purchases are governed by the version of the Terms published on the Website and in force at the time of purchase. Before placing any order on the Website, the Customer must carefully read these Terms.
Any amendment, supplement or replacement of these Terms with an updated version implies that the previous version shall automatically be inapplicable, ineffective and unenforceable against Sothis® in relation to purchases made after such amendment, supplement or replacement.

2. INFORMATION ABOUT THE SELLER AND THE PRODUCTS

2.1. The Seller is Industrial Design di Losi Ivan, an Italian business with registered office at Via Giacomo Puccini, 44, 41016 Novi di Modena (MO), Italy, VAT and Tax Code 03888130360, LSOVNI74B04B819Y, registered with the Companies Register of Modena.

2.3. Information about our Products—namely a description of the Product, its technical specifications and any options (e.g., number of lights, color, dimensions, etc.)—is available on the Website.

2.4. The representation of the Products on the Website may differ from reality. Before purchasing, the Customer must therefore rely on the Product description and related information. The essential characteristics of the Products are presented on sothislight.com within each product page. Images and colors of Products offered for sale may not correspond to the actual items due to the internet browser and monitor used. Dimensions tolerance: ±2%, as the Product is handmade.

2.5. In any case, Sothis® shall not be liable for errors arising from the Customer’s failure to properly connect to or use the Website.

3. CONCLUSION OF THE CONTRACT

3.1. Before submitting an order proposal, the Customer must carefully read the characteristics of the goods and the related price, as well as all other information concerning the Product displayed on the Website on the relevant Product pages. The Customer must also carefully read these Terms and the instructions provided during the purchase process.

3.2. To purchase the Products, the Customer must complete the following steps:
(i) add the selected Products to the Cart by selecting the appropriate button;
(ii) select Proceed to Checkout and fill in the required fields (Order Proposal);
(iii) select the payment method;
(iv) accept the general terms and conditions;
(v) submit the Order Proposal through the Website.

3.3. Before submitting the Order Proposal, the Customer must verify all data entered and, if necessary, may make corrections and/or changes. After confirming the Order Proposal, the order is sent to Sothis® for processing and can no longer be modified.

3.4. The contract between Sothis® and the Customer is concluded when the Customer receives one or more confirmation emails from Sothis® (the “Order Confirmation”). The Order Confirmation will be sent to the email address provided by the Customer during Checkout and will include the order confirmation and a summary of the purchase terms (e.g., Product description; total price; contacts for complaints and post-sales service information; existence of the right of withdrawal and how to exercise it).

3.5. Sothis® reserves the right not to accept an Order Proposal from a Customer in the following cases:
(i) lack of Product availability;
(ii) suspicion or notification of fraudulent or illegal activity, or suspicion that the Products are being purchased for commercial purposes;
(iii) the Customer has previously failed to comply with these Terms or has otherwise breached obligations.
In such cases, Sothis® will send an order cancellation email within 30 (thirty) days from receipt of the Order Proposal.

3.6. Once the Order Confirmation has been received, the order can no longer be canceled or modified. Any return of Products must be carried out in accordance with Section 7 of these Terms.

3.7. The risk of loss of or dama ge to the purchased Products passes to the Customer when the Customer, or a third party designated by the Customer other than the carrier, physically takes possession of the Products.

4. PRICE AND PAYMENT METHODS

4.1. Product prices shown on the Website are expressed in Euro and include applicable taxes and duties, as well as any shipping costs where provided, which will be indicated separately. For any additional charges, Sothis® will request the Customer’s express consent. Prices shown on the WEB price list include VAT for EU buyers; for non-EU buyers, VAT is not applied (non-taxable pursuant to Art. 8, Presidential Decree No. 633/72). For Products selected for purchase or added to the Cart, the unit price, total price and overall amount including VAT (or marked as non-taxable) are displayed in Euro. For deliveries requested to non-EU countries, any import customs charges are borne by the recipient. Customers are therefore invited to contact their local customs authorities in advance to check costs and any import restrictions.

4.2. Taxes and duties
All shipments within the European Union are duty-free. Shipments to all other countries may be subject to import duties that vary by country and item type and cannot be determined by us. We suggest contacting your national customs office to ascertain costs. Import duties are borne by the purchaser.
For the U.S.A., Canada, and non-EU destinations: taxes and duties differ according to local law. Product prices include shipping and insurance costs but do not include import taxes payable to the carrier. Import duties are charged to the customer/recipient. For more information, please consult your customs office. (If you use tariff references, ensure the code is accurate for your product and destination.)

4.3. While Sothis® diligently verifies the accuracy of prices on the Website, it cannot guarantee the absolute absence of errors. In the rare event of a pricing error for a Product, we will immediately reject the order and offer the Customer the opportunity to purchase the Product at the correct price. If the error is discovered after order acceptance, we will promptly notify the Customer, offering the option to cancel the order.

4.4. The Customer will be charged the price displayed in the Cart at the time of confirmation by selecting the purchase button. For deliveries to non-EU countries, any import customs charges are borne by the recipient. Customers are invited to contact their customs authorities in advance to check costs and any import limits.

4.5. The following payment methods are available for purchasing our Products. The Customer may pay the price and any shipping costs, where applicable, by:

  • Bank transfer: bank details will be sent to the Customer once the order is completed. Payment must be made within 15 business days from the order confirmation date. If, after this term, the corresponding funds are not available in the indicated bank account, Sothis® will not perform the contract and the order shall be deemed cancelled;

  • PayPal: the Customer may pay via their PayPal account or by credit card through the PayPal system;

  • Credit card: the Customer may use their credit card (VISA, Mastercard, American Express) directly on our Website;

  • Cash on delivery (Italy only): available only for cash amounts below €500 payable to the courier. For higher amounts, our team will contact you after the order is confirmed;

  • Other methods: Sothis® may accept additional payment methods at its discretion. In such cases, please contact us after your order is confirmed.

4.6. If the Customer pays by credit card, the Customer confirms and warrants that they are the cardholder and that the data entered at the time of purchase—card number, expiry date and, where required, the security code—are correct. Sothis® will charge the transaction only after verifying: (i) card data; (ii) authorization from the card issuer; (iii) confirmation of Product availability by Sothis® and, in any case, once the order is ready to be processed.

4.7. For other payment methods, the Customer confirms and warrants that they are the holder of the account used for the purchase.

4.8. Products will be shipped only after successful payment. If, for any reason, the charge cannot be processed, Sothis® will notify the Customer that the sale has been cancelled.

4.9. For each completed order, an invoice will be issued and sent to the Customer by email or post in compliance with applicable law, based on the information provided by the Customer at the time of the order. No changes can be made after the invoice has been issued.

5. PACKAGING

5.1. Each Product is professionally packaged using vacuum-sealed blisters protected by polystyrene and cardboard, and placed in triple-wall cardboard boxes. In the rare event of breakage during transport, we will take full responsibility and ship the dama ged parts free of charge as soon as possible.
Breakages during transport are covered by insurance only if the Buyer provides photographic evidence sent within five (5) days from receipt of the package from the courier to info@sothislight.com.

6. SHIPPING AND DELIVERY

6.1. Sothis® Products are shipped, properly packaged, via leading insured express couriers (UPS within the EU, SDA within Italy, FedEx for the United States and non-EU countries). Products will be delivered to the address specified by the Customer during Checkout. As an additional delivery option, the Customer may, by appointment, collect the Products at our operating location at Via Giacomo Puccini, 44, Novi di Modena (MO). For deliveries to non-EU countries, any import customs charges are borne by the recipient. Customers are invited to contact their customs authorities in advance to check costs and any import limits.

6.2. Once the parcel has been shipped, a tracking code will be emailed to the address indicated in the Order Proposal, so the Customer can monitor delivery within the timeframe indicated by the courier depending on the destination country/area. Products purchased on sothislight.com are intended for the country in which the Customer places the order; if the Customer moves the Product to another country, the Customer is responsible for such movement and must comply with applicable export/import rules for both countries.

6.3. Delivery times may vary depending on the model ordered, packaging and destination. Barring force majeure or unforeseeable circumstances, delivery times average 25 to 45 business days from order confirmation (up to 60 days for customized Products or the “Ca Rezzonico” line).

6.4. Upon delivery, the Customer (or a third party designated by the Customer) must:
(i) verify that the number of packages matches the transport document;
(ii) check the condition of the packaging and seals, ensuring they are intact and not dama ged, wet or otherwise altered;
(iii) sign as proof of receipt;
(iv) present an ID document if requested by the courier.
Any dama ge to the packaging or Products must be immediately reported in writing on the courier’s transport document. Once the transport document has been signed, the Customer may no longer raise objections regarding the external condition of the delivered package, without prejudice to claims concerning the Products as per Section 8.

6.5. For collection at our operating location, the Customer must bring an ID document and a copy (digital or paper) of the email confirming the Products are ready for pickup.

7. RIGHT OF WITHDRAWAL (CONSUMERS)

7.1. The Customer has the right to withdraw from the contract, without giving any reason, within 14 days from the day on which the Customer or a third party other than the carrier and indicated by the Customer acquires physical possession of the Products. In the case of split shipments, the period runs from the day on which the Customer acquires possession of the last Product.

7.2. To exercise the right of withdrawal, the Customer must inform Sothis® of the decision to withdraw by sending an explicit statement by post or email to info@sothislight.com. The right of withdrawal does not apply to contracts for the supply of goods made to the consumer’s specifications or clearly personalized.

7.3. To meet the withdrawal deadline, the Customer must send the explicit statement before the 14-day period has expired.

7.4. Within 10 days from sending the withdrawal statement, the Customer must return the Products to Sothis® by shipping them to: Industrial Design di Losi Ivan, Logistics Hub, Via Giacomo Puccini, 44, 41016 Novi di Modena (MO), Italy, Tel. +39 353 4001541. Return shipping costs are borne by Sothis® unless the Customer chooses a delivery method different from the one provided by Sothis®. Products must be returned intact, undamaged, and together with all materials supplied at delivery. The Customer is responsible for any diminished value resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the goods.

7.5. Sothis® will refund all payments received from the Customer, including delivery costs (unless the Customer chose a delivery method different from that offered by Sothis®), within 14 (fourteen) days from the day Sothis® receives the returned Products or from the day the Customer provides evidence of having sent back the Products, whichever is earlier. Refunds will be made using the same payment method used for the purchase, unless otherwise agreed. Import costs for goods from non-EU countries are borne by the Customer and will not be refunded. Any refund will be processed as soon as reasonably possible. The refunded amount will be net of fees applied by PayPal, Stripe or other payment services used by the Customer, of any customs costs borne by the Seller for customs clearance of items from non-EU countries, and of any transport costs where shipping was included. The Seller will use the same means of payment used by the Buyer unless otherwise expressly agreed.

7.6. If the methods and deadlines for exercising the right of withdrawal are not met, you will not be entitled to a refund of amounts already paid. Within 14 days of the email notifying the non-acceptance of the return, the Buyer may choose to have the Products returned, at their expense, in the condition in which they were received by the Seller, by notifying the Seller as instructed. Otherwise, the Seller may retain the Products and the amounts already paid.
Where the conditions above apply, you will not be entitled to a full refund. The Customer is responsible for any diminished value of the returned Products resulting from use beyond what is authorized by the Seller to verify the nature, characteristics and functioning of the Products. In such cases, a percentage between 10% and 90% of the amounts paid for the returned Products will be deducted from the refund, as specifically communicated by email by the Seller. Within 14 days of the email communicating the deducted amount, the Customer may choose to have the Products returned, at their expense, in the condition in which they were received by the Seller, by notifying the Seller as instructed. Otherwise, the Seller may retain the Products and an amount corresponding to the deducted percentage.

8. LACK OF CONFORMITY

8.1. If a Product purchased by the Customer does not conform to the sales contract due to a manufacturing defect or any presumed lack of conformity, the Customer has the right to obtain the full restoration of the Product’s conformity.

8.2. The Customer must contact our support service and notify the defect by post or email at: Industrial Design di Losi Ivan, Via Giacomo Puccini, 44, 41016 Novi di Modena (MO), info@sothislight.com.

8.3. To restore conformity, the Customer may request, at their choice and at no cost, repair or replacement of the non-conforming Product. If the chosen remedy is impossible or entails disproportionate costs for the Seller, the Customer is entitled to a price reduction proportionate to the difference between the value of the goods received and that of conforming goods, or to termination of the contract.

8.4. The Seller shall not be liable for any lack of conformity that becomes apparent after two (2) years from delivery of the Product.

8.5. LIMITATION OF LIABILITY AND WARRANTIES
8.5.1. The Seller assumes no liability for service failures due to force majeure if it is unable to perform the order within the time limits set in the contract.
8.5.2. Except in cases of willful misconduct or gross negligence, the Seller shall not be liable to the Customer for disruptions or malfunctions related to internet use beyond the control of the Seller or its subcontractors.
8.5.3. The Seller shall not be liable for dama ges, losses or costs incurred by the Customer due to non-performance of the contract for reasons not attributable to the Seller; the Customer shall only be entitled to a full refund of the price paid and any ancillary charges.
8.5.4. The Seller assumes no liability for any fraudulent or unlawful use by third parties of credit cards, checks or other means of payment at the time of payment for the purchased Products, provided the Seller has taken all possible precautions according to the best knowledge and ordinary diligence at the time.
8.5.5. In no event shall the Customer be held liable for delays or issues with payment if the Customer proves that payment was made in the manner and within the time indicated by the Seller.
8.6.6. By agreement, any right of the Customer to compensation or indemnity is excluded, as is any contractual or non-contractual liability for direct or indirect dama ges to persons and/or property arising from use or non-use of the Products.
8.6.7. The visual representation of the Products on the Website generally corresponds to their photographic image. Please also consider the fully handcrafted nature of the items. The unique characteristics of items sold on sothislight.com derive from manual processing and production of glass and metal parts. It is therefore natural that it may be impossible to add or replenish items at later times without differences in color, shape, size, weight and decoration. Even small differences between the glass fusion temperature and the ambient temperature during processing can cause significant variations in the finished product. In any case, the company undertakes to maintain the highest possible standards regarding the quality of the Products described in the catalog.

9. GUARANTEE OF AUTHENTICITY AND PROPER FUNCTIONING

9.1. All Products on our Website are made by Italian artisans according to the traditional techniques of Murano glass masters and are strictly MADE IN ITALY. Sothis® guarantees the authenticity of all Products offered on the Website.

9.2. All Sothis® marks on Products, accessories and packaging, as well as all illustrations, images and logos, are protected by copyright. Such marks are and will remain the property of Industrial Design di Losi Ivan.

10. APPLICABLE LAW AND JURISDICTION

10.1. These Terms and any contractual obligations arising from sales contracts are governed by Italian law (in particular, Legislative Decree 206/2005 – Consumer Code and Legislative Decree 70/2003 – E-commerce Code) and shall be interpreted accordingly.

10.2. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the Court of Modena (Italy).

10.3. Alternatively, the Customer may use the European Commission’s online dispute resolution platform at http://ec.europa.eu/odr.

11. AMENDMENTS AND UPDATES

11.1. These Terms may be amended from time to time, including to reflect regulatory changes. The new Terms shall be effective from the date of publication on sothislight.com.

12. STORAGE OF THE CONTRACT

12.1. Pursuant to Art. 12 of Legislative Decree 70/2003, the Buyer is informed that each order submitted is stored in digital/paper form on the Seller’s server at its registered office, in accordance with confidentiality and security criteria.

13. PRIVACY

13.1. Information on personal data processing is available on the dedicated page of sothislight.com.
